Terms of Service

These terms are an agreement between you and Entapreneur, operated by Intelligent Street in Dubai, United Arab Emirates ("Entapreneur", "we", "us"). By creating an account or using Entapreneur you accept them. If you do not agree, please do not use the service.

1. About these terms

These terms apply to the Entapreneur website, dashboard, public profile and thought pages, and any related services we offer (together, the "service"). Our Privacy Policy and Refund & Cancellation Policy form part of these terms. Where a feature is marked "coming soon", these terms apply to it when it becomes available.

2. Eligibility and accounts

• You must be at least 18 years old and able to enter a binding contract.
• You must give accurate information and keep it up to date. Your username can be changed once; some personal details (such as date of birth and mobile number) can be set once and are then changed only through support.
• You are responsible for keeping your sign-in secure and for everything done through your account. Tell us at once if you believe your account has been compromised.
• One person, one account. Accounts may not be sold, transferred or shared.

3. The service

Entapreneur lets you publish leadership thoughts in your own words, receive an automated analysis, show them on your Entapreneur wall and in the Community, share them through Entapreneur's own social channels, and optionally seal a thought on a public blockchain as a Thought NFT. We may add, change or remove features, and we will give reasonable notice of changes that materially reduce what a paid plan includes.

4. Your content and licence

• You own your thoughts. Your text, comments and profile content ("your content") remain yours.
• Licence to us. You grant Entapreneur a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format (including as quote cards and certificate images), display and distribute your content in order to operate, provide and promote the service. For thoughts you publish publicly, to Entapreneur channels, or mint, this includes showing them on your wall, in the Community, on public pages and on the channels you chose. The licence ends when your content is deleted from the service, except for copies already published to third-party platforms, content others have legitimately shared within the service, backups kept for a limited time, and records we must keep by law.
• Your responsibility. You confirm your content is your own original work or that you have the rights to publish it, and that it does not infringe anyone's rights or break any law.
• Visibility. You choose whether your profile and each thought are public or private. Private thoughts are visible only to you. Anything you publish to third-party platforms or mint on a blockchain is public and outside our control.

5. Automated review and moderation

To keep the service safe and useful, thoughts and comments are reviewed by automated systems, including artificial intelligence, and may be reviewed by our moderators. Automated analysis and captions are suggestions provided for your benefit; they may be imperfect and are not professional advice. We may decline to publish, hide or remove content that we reasonably believe breaks these terms or our community standards, and we may explain the reason in general terms. The way our review, ranking and recommendation systems work is proprietary and is not disclosed in detail.

6. The Community

• Kindred. Kindred is a mutual connection: one member sends a request and the other accepts. Either member can remove it at any time.
• Engagement. Members can like, react to, comment on and be "inspired by" public thoughts. Being inspired shares the thought on your wall with credit to its author; it does not transfer ownership.
• Comments. Comments are free. You see yours straight away; others see it once it has been approved. If a comment is not approved we will tell you why in general terms so you can edit it.
• Feed. What appears in your feed and in what order is decided by our systems and may change over time.
• Safety tools. You can report content and block members. Blocking hides you from each other and removes any Kindred connection.

7. Plans, credits and Mintokens

• Plans. We offer a Free plan and paid plans (currently Starter and Pro), billed monthly or quarterly. Each plan's price, monthly allowances and publishing limits are shown on our pricing and billing pages at the time you subscribe.
• Credits are used to publish. Each thought uses at least one credit for your Entapreneur wall, and each Entapreneur channel you choose uses one credit. Publishing to your own connected accounts, when available, may cost more at peak times as shown before you publish.
• Mintokens are used to mint a Thought NFT (one Mintoken per thought).
• Allowances. Your plan's monthly credits reset each month and do not roll over. Unused monthly Mintokens roll over up to twice your monthly allowance.
• Purchased packs. Credits and Mintokens you buy separately do not expire while your account is open and are used after your monthly allowance.
• Publishing limits. Each plan has a posting limit per week or per day, counted in your time zone. Scheduled thoughts count toward the period in which they are scheduled.
• Returns of credits. If a publish fails on our side, or you cancel a scheduled thought before it goes out, the credits used are returned automatically.
• No cash value. Credits, Mintokens and Bid Credits are limited, revocable licences to use features of the service. They have no monetary value, are not property, cannot be exchanged for money, and cannot be sold or transferred except as the service expressly allows.

8. Payments and renewals

• Payments are processed by our payment provider. Prices are shown in US dollars, and where offered you may pay in UAE dirhams. Taxes are added where required.
• Automatic renewal. Paid plans renew automatically at the end of each billing period at the then-current price until cancelled. We will tell you in advance of any price change, which applies from your next renewal.
• Upgrades take effect immediately; your new plan's allowance is added and the price difference is charged as shown at checkout.
• Downgrades and cancellations take effect at the end of the current billing period. You keep your plan's features until then.
• If a payment fails we may retry it and, if it still fails, move your account to the Free plan.
• Refunds are covered by our Refund & Cancellation Policy.

9. Thought NFTs

• Minting records your thought, your name and the date on a public blockchain and creates a certificate page and images. Blockchain records are public and permanent: they cannot be edited or deleted by you or by us, including after you delete your account.
• A Thought NFT is a certificate of authorship and a collectible within Entapreneur. It is not a security, investment, financial product or currency, and we make no promise about its value, liquidity or future use.
• Minting is completed by blockchain networks and third-party infrastructure outside our control. Confirmation can take time; if minting cannot be completed we will return the Mintoken used.
• Unless we agree otherwise in writing, owning or receiving a Thought NFT does not transfer copyright in the underlying thought.

10. Bid Credits and bids

• Bid Credits are bought separately from plans. One Bid Credit is worth 1 USDT (Tether). Bid Credits are paid for by card at the US dollar equivalent, 1 USD per Bid Credit (or the equivalent shown in AED).
• Members who are Kindred may bid Bid Credits on each other's minted Thought NFTs. Bids are kept within the Entapreneur dashboard and are not promoted publicly.
• When you place a bid, the Bid Credits are held. They return to your balance if the owner declines, if you withdraw the bid, or if the bid expires after seven days.
• If the owner accepts, the held Bid Credits are transferred to the owner, other open bids on that Thought NFT are released, and the Thought NFT is marked for transfer to you. Transfers depend on blockchain networks and may take time.
• Bid Credits cannot be withdrawn or redeemed for money. We may introduce a redemption or payout feature in future under separate terms.

11. Entapreneur channels and connected accounts

• Entapreneur channels are social media accounts owned by Entapreneur. When you choose them, your thought is posted from our accounts with credit to you. We decide what appears on our accounts and may remove a post at any time. Each platform's own terms apply to activity there.
• Your own accounts, when connecting becomes available, will be published to only with your authorisation. You are responsible for complying with those platforms' terms, and you can disconnect at any time.
• We are not responsible for the availability, actions or policies of third-party platforms.

12. Acceptable use

You agree not to:

• publish content that is unlawful, defamatory, hateful, harassing, sexually explicit, violent, or that infringes intellectual property or privacy rights;
• pass off another person's words as your own, or impersonate any person or organisation;
• post spam, advertising, links for promotion, or engage in fake engagement, such as buying likes or coordinating reactions;
• use the service for financial promotions, investment solicitations, or to manipulate the perceived value of Thought NFTs;
• scrape, copy or harvest data from the service, or access it by automated means except through features we provide;
• interfere with, probe, reverse engineer or overload the service or its security, or attempt to discover how our review or ranking systems work in order to evade them;
• create multiple accounts to get around limits, bans or allowances.

13. Our intellectual property

The service, including its software, design, brand, quote card and certificate designs, and the Entapreneur name and logos, belongs to us or our licensors. You receive a limited, personal, non-transferable right to use the service under these terms. Feedback you give us may be used without obligation to you.

14. Suspension, termination and deletion

• We may restrict, suspend or close an account that breaks these terms, creates risk or legal exposure for us or others, or is used fraudulently. Where appropriate we will tell you why and give you a chance to respond.
• You can delete your account at any time from My Profile. Deleting cancels any paid plan at once, removes your profile, thoughts, comments, connections and remaining balances, and cannot be undone. Unused credits, Mintokens and Bid Credits are forfeited, subject to our Refund & Cancellation Policy. Bid Credits held in open bids are released before deletion.
• We keep a limited record of closed accounts where needed for legal, tax, fraud-prevention and dispute purposes, as described in our Privacy Policy. Content on blockchains and third-party platforms is not removed.
• Sections that by their nature should survive termination (including 4, 9, 13 and 15 to 18) continue to apply.

15. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee that the service will be uninterrupted or error-free, that content will reach any audience, or any result from publishing, analysis or minting. Nothing on Entapreneur is legal, financial, investment or tax advice.

16. Limitation of liability

To the fullest extent permitted by law, Entapreneur will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or reputation. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars. Nothing in these terms limits liability that cannot be limited by law.

17. Indemnity

You agree to indemnify Entapreneur against claims, losses and reasonable costs arising from your content, your breach of these terms, or your violation of any law or third-party right.

18. Governing law and disputes

These terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Before starting formal proceedings, please contact us so we can try to resolve the matter informally within thirty days. The courts of Dubai have exclusive jurisdiction, unless mandatory consumer law in your country gives you the right to bring proceedings where you live.

19. Changes

We may update these terms. If a change is material we will give at least fourteen days' notice by email or in the dashboard before it takes effect. Continuing to use the service after that date means you accept the updated terms; if you do not, you may cancel and delete your account.
